General Meeting

The General Meeting is Storebrand's supreme governing corporate body, held by the end of June each year.

All shareholders with a known address receive written notice of the AGM by post, sent out no later than 21 days before the AGM.

The supporting papers for all matters on which a vote will be taken, will be made available on Storebrand's website. This included the recommendations of the Nomination Committee concerning proposed candidates for election. Shareholders can request to have a copy of supporting papers sent by post.

All shareholders are entitled to attend general meetings, and arrangements are also made for proxy voting. Shareholders can only exercise their formal rights through the General Meeting.

Nomination Committee

Storebrand's Nomination Committee nominates shareholders' representatives to the Board of Directors and the Nomination Committee in the spring of each year. The Nomination Committee nominates candidates based on specific criteria and instructions adopted by the Annual General Meeting.

The members of the Nomination Committee for the period 2023-2024 are:

  • Nils Halvard Bastiansen (Chairman)
  • Lars Jansen Viste (elected by shareholders)
  • Anders Gaarud (elected by shareholders)
  • Liv Monica Stubholt (elected by shareholders)

Proposal for candidates to be nominated to Storebrand's Board of Directors and the Nomination Committee can be delivered/sent to the Nomination Committee's secretariat c/o Group Legal Department in Storebrand. Please note that the Nomination Committee wishes to receive shareholder's proposals for candidates before the committee decides on its recommendations. 

Proposals are asked to contain name, place of residency, nationality and a short resume.

The Norwegian Corporate Governance Board (NUES)

The Norwegian Corporate Governance Board (NUES) yearly awards a prize for the best corporate governance report in an annual report. Storebrand won the award in 2006.
 
The Norwegian Code of Practice takes into account international developments and other national codes, but is built on national considerations such as Norwegian legislation and practice. The purpose of the Code of Practice is to clarify the respective roles of shareholders, board of directors and executive officers beyond the requirements of the legislation. Oslo Børs stipulates that companies listed on Oslo Børs must annually publish a statement on the company's principles for corporate governance in accordance with the Norwegian Code of Practice for Corporate Governance.

Compliance

The topic of corporate governance is subject to annual reviews and discussions by the Board of Directors, among other things, the group's governance documents are reviewed and revised annually. Storebrand's principles for corporate governance correspond with the Norwegian Code of Practice for Corporate Governance, and there are no deviations.
